1. INTRODUCTION

Welcome to Portalys, an event marketplace connecting buyers, sellers, and organizers for ticket sales and event services. This User Agreement ("Agreement") governs your use of Portalys and constitutes a legally binding contract between you and Portalys, Inc. ("Portalys," "we," "us," or "our").

By accessing or using Portalys, you agree to abide by this Agreement. If you do not accept these terms, you must not use our platform.

2. DEFINITIONS

• User: Any individual or entity using the Portalys platform.

• Buyer: A User purchasing tickets or services.

• Seller: A User listing tickets or services for sale.

• Organizer: A business entity or individual organizing events and partnering with Portalys.

• Portalys Services: The online marketplace, mobile app, and associated features provided by Portalys.

3. ELIGIBILITY & ACCOUNT REGISTRATION

To use Portalys, you must:

• Be at least 18 years old.

• Provide accurate and complete registration details (name, contact information, payment details, etc.).

• Maintain the confidentiality of your account credentials and accept responsibility for activities occurring under your account.

• Agree to comply with all applicable laws and regulations.

Portalys reserves the right to suspend or terminate accounts that violate these terms.

4. USER RESPONSIBILITIES

All Users must:

• Use the platform lawfully and in good faith.

• Avoid fraudulent or misleading activity.

• Not interfere with the operation of the platform.

• Respect intellectual property rights and third-party agreements.

5. SELLERS’ TERMS

Sellers agree to:

• List only valid and authentic tickets or services.

• Provide accurate descriptions and prices.

• Deliver purchased items in a timely manner.

• Comply with all applicable laws regarding ticket resale and consumer rights.

Portalys reserves the right to remove listings that violate this Agreement.

6. BUYERS’ TERMS

Buyers acknowledge that:

• All purchases are final unless otherwise specified.

• Event organizers may impose specific policies regarding entry, refund, or cancellation.

• Disputes regarding ticket validity must be reported to Portalys within 48 hours of the event.

7. ORGANIZERS’ TERMS

Organizers agree to:

• Provide accurate event details (venue, time, policies, etc.).

• Honor commitments to Buyers and Sellers.

• Comply with legal and regulatory requirements.

• Manage refunds and cancellations in accordance with their event policies and applicable laws.

Portalys may facilitate event promotion and ticket sales but is not responsible for event execution.

8. FEES, PAYMENTS & COMMISSIONS

• Portalys charges fees for transactions, disclosed at the time of sale.

• Buyers authorize Portalys to process payments through third-party processors.

• Sellers may be subject to payment processing and service fees.

• Organizers may enter revenue-sharing agreements with Portalys.

Failure to pay fees may result in account suspension.

9. CANCELLATION & REFUND POLICY

• Sellers and Organizers set refund policies, which Buyers must review before purchasing.

• If an event is canceled, Buyers may be eligible for a refund per the Organizer’s policy.

• Portalys may facilitate but is not responsible for refund disputes.

10. PROHIBITED ACTIVITIES

Users may not:

• List counterfeit, fraudulent, or unauthorized items.

• Engage in chargeback fraud.

• Resell tickets where prohibited by law.

• Interfere with other Users’ transactions.

• Use automated bots or scripts to manipulate listings or purchases.

Violations may result in account suspension, legal action, or financial penalties.

11. DISPUTE RESOLUTION & LIABILITY

• Users agree to resolve disputes amicably before escalating to Portalys.

• Portalys may intervene in disputes at its discretion but is not responsible for external claims.

• Liability for errors, fraud, or misconduct is limited to the extent permitted by law.

• Disputes involving Portalys will be resolved through binding arbitration in Boston, Massachusetts.

• Class action waivers apply, meaning Users cannot file group lawsuits against Portalys.

12. INTELLECTUAL PROPERTY

Portalys retains all rights to its trademarks, logos, and proprietary technology. Users may not copy, modify, or distribute our content without prior consent.

13. PRIVACY & DATA USE

Portalys collects and processes personal data as outlined in our Privacy Policy. By using our services, you consent to data collection practices for transaction processing, fraud prevention, and service improvement.

14. CHANGES TO THIS AGREEMENT

Portalys reserves the right to modify this Agreement at any time. Changes will be effective upon posting. Continued use of the platform signifies acceptance of the revised terms.
